The following Website Terms and Conditions ("Terms") govern your access to and use of the Phases website at https://www.phases.ai and all associated websites linked to this domain, including our mobile sites (collectively, the "Platform"). The Platform and all Content (defined below) are owned and operated by Patiently Innovations Inc. Please note that these Terms do not apply to the Phases clinical trial–matching platform, services, or related technologies (the "Services"). Use of the Services is governed by the separate Phases Cloud Service Agreement or other applicable written agreement.

• By accessing or using any portion of the Platform, you acknowledge and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.* When accepting these Terms on behalf of a company, organization, government, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, "you" and "your" refer to that entity.

Phases reserves the right to modify these Terms at any time at its sole discretion. You are responsible for reviewing these Terms periodically. Your continued use of the Platform following any modifications constitutes your acceptance of the revised Terms.

Access License

Phases grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Platform subject to your ongoing compliance with these Terms. Phases may restrict or suspend any user's access to the Platform and/or terminate this license at any time for any reason. All rights not expressly granted in these Terms are reserved by Phases.

By posting, displaying, publishing, or making available content on the Platform (excluding personal information covered by the our Privacy Policy), you grant Phases a perpetual, worldwide, non-exclusive, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such content without restriction.

Intellectual Property

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, "Content"), including the design, structure, selection, coordination, expression, appearance, and arrangement of such Content on the Platform, is owned, controlled, or licensed by Phases and is protected by intellectual property laws including trade dress, copyright, trademark, and unfair competition laws.

Except as expressly permitted in these Terms, no part of the Platform or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed to any other computer, server, website, or medium for publication or distribution, or for any commercial enterprise, without Phase’s prior written consent.

You may not use any automated means, including "deep-link," "page-scrape," "robot," "spider," or other automatic device, program, algorithm or methodology, or any similar manual process, to access, acquire, copy, or monitor any portion of the Platform or Content, or circumvent the navigational structure or presentation of the Platform, to obtain materials, documents, or information not intentionally made available through the Platform. Phases reserves the right to prohibit such activities.

Acceptable Use

You agree not to:

• Use any device, software, or routine that interferes with the proper operation of the Platform;
• Take any action that imposes an unreasonable load on the infrastructure of the Platform or Phases systems;
• Probe, scan, or test the vulnerability of the Platform or any connected network;
• Breach security or authentication measures;
• Attempt to gain unauthorized access to any portion of the Platform or any connected systems;
• Reverse look‑up, trace, or attempt to trace information on other users or visitors;
